These PHXSERVICES.COM Terms of Use (“Terms of Use”) govern your use of the website phxservices.com at www.phxservices.com and any successor website (collectively, the “Site”) by you and those acting on your behalf.

Parcel Handling Express (“PHX”) owns the Site and may change or modify these Terms of Use at any time, with or without notice and for any reason. Your continued viewing or use of the Site constitutes your agreement to such changes and/or modifications.
Additional terms and conditions referenced or provided in these Terms of Use and throughout the Site govern your use of specific functions, features, information, applications, services, and products available through the website.
The Site is operated by PHX for the benefit of Parcel Handling Express companies and their customers and those acting on behalf of such customers. All references to “PHX customers” refer to current and prospective customers (as applicable) of any or all PHX Companies and those acting on behalf of such customers.
The website is made available for use by current PHX customers in connection with the transportation of their shipments, allowing them to interact with the company. The website is also a reference source for our customers, providing information about various available services and products. Any use of the Site by any other person or entity for any other purpose is prohibited. None of the PHX companies, nor their respective shareholders, directors, officers, employees, agents, independent contractors, representatives, or attorneys, assume any obligation or liability for such prohibited use.
Any access to the Site to obtain information through automated query devices or programs is strictly prohibited. Using or attempting to use the Site to compete with PHX or to interfere with its business is strictly prohibited.
PHX does not accept ideas, concepts, or techniques for new services or products through the Site. If such information is received, it will not be considered confidential or proprietary, and PHX is free to use, communicate, and exploit such information in any way.
PHX may, at its sole and absolute discretion, discontinue, suspend, or modify access to the Site or any portion thereof by any user at any time, with or without notice and for any reason.
PHX may add features and services to the Site for use by its customers or may alter existing features and services. PHX may make such additions and changes at any time, with or without notice and for any reason. Your continued viewing or use of the Site constitutes your agreement to the mentioned additions and changes.
PHX may, at its sole and absolute discretion, at any time, with or without notice and for any reason, alter or update the Site and change, update, or delete any content appearing or accessible on or through the Site, including, without limitation, information, graphics, services, products, features, functionality, and links (collectively, the “Content”).
The Site and its Content are protected by copyright, trademark, and other laws of Brazil and international laws. All rights in and to the Site and the Content are reserved. By permitting access to the Site, PHX does not transfer and does not convey to anyone any ownership rights in the Site or any Content. You are granted only a limited license to reproduce the Content on your computer for the purpose of accessing the Site and using the features and services accessible through it. You are also granted a license to print information that appears on your computer screen during your use of the Site’s features and services. No other permission is granted in any way to download, modify, reproduce, use, copy, or distribute any Content.
The PHX® logo and service marks are registered service marks of PHX and are prohibited from use. Other trademarks and service marks appearing in the Content are owned by their respective owners.
The Site and the Content are provided “as is,” without any warranties, express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, title, and non-infringement, regarding the website or such content or your ability or inability to use the website or its content. You expressly acknowledge that your use of the website and the content is at your sole risk.
Neither PHX nor any of its respective shareholders, board members, directors, employees, agents, independent contractors, representatives, or attorneys shall be liable to you or anyone claiming through you for any direct, indirect, consequential, incidental, or other damages under any theory of law for errors, use, or inability to use the Site or any Content, including, without limitation, damages for lost profits, loss of business, or loss of data, even if PHX or any of its shareholders, directors, officers, employees, agents, independent contractors, representatives, or attorneys have been advised of the possibility of such damages.
You release and agree to indemnify and hold harmless PHX and its respective shareholders, directors, officers, employees, agents, independent contractors, representatives, and attorneys from all claims, demands, causes of action, liabilities, damages, costs, and expenses, including reasonable attorney’s fees, arising out of these Terms of Use or your use or access to the Site and its Content.
The terms and conditions for using PHX’s transportation services are as follows (collectively, the “Conditions of Carriage”):
(a) PHX’s Full Conditions of Carriage, as amended periodically, which are hereby incorporated by reference;
(b) the air waybill accompanying the respective shipment offered for transportation by PHX;
(c) the PHX tariff applicable to the location where such shipment is offered for transportation or otherwise agreed upon by PHX and the shipper for such shipment, as amended periodically.
The Conditions of Carriage may be amended at any time, with or without notice and for any reason. Your continued viewing or use of the Site, requesting transportation for a shipment, offering a shipment for transportation, and/or signing an air waybill shall constitute your agreement to such amendment.
The current version of PHX’s General Conditions of Carriage shall control in the event of any conflict with an air waybill, tariff, or any information, features, or services provided on the Site. Nothing herein shall be construed as an agreement by PHX to provide any transportation services. It is understood that, notwithstanding anything stated herein, any claims relating to a shipment or otherwise arising out of the Conditions of Carriage shall be determined in accordance with the Conditions of Carriage.
The Site may, from time to time, include links that allow you to visit websites owned and operated by parties other than PHX.
These websites and the companies they belong to are not controlled by or related to PHX. PHX makes no representations or warranties and assumes no obligation or liability concerning any information, products, or services provided or made available on such websites or regarding the quality or acceptability of any person or entity offering information, products, or services, or otherwise referenced on any of these websites.
PHX does not test or make representations regarding the accuracy, performance, or quality of any software found on such websites. If you access a website not owned by PHX, it is entirely at your own risk.
You assume full responsibility for complying with all laws and regulations of Brazil and any other country from which you may access the Site regarding the access, use, export, re-export, and import of any Content appearing or available on the Site. You acknowledge and agree that you will not export, re-export, or import any Content to any country to which export, re-export, or import is restricted under the laws or regulations of Brazil, that you are not a national of any such country, and that the Content will not be used in the design, development, or production of nuclear, chemical, or biological weapons.
You further assume full responsibility for the use of any information, features, or services through the Site or PHX.
These Terms of Use and the use of the Site and its Content are governed by and interpreted in accordance with the laws of Brazil, excluding conflict of law provisions.
Any cause of action regarding the Site, the Content, or these Terms of Use must be instituted within one year after the claim or cause of action arises or be barred and must be brought before a court of competent jurisdiction in the company’s headquarters. If any provision of these Terms of Use is found to be wholly or partially invalid or unenforceable by a court of competent jurisdiction, these Terms of Use shall be ineffective to the extent of such invalidity or unenforceability without invalidating the remaining terms. These Terms of Use may not be altered or modified without the written consent of PHX.
